Welcome to Proquotely. These Terms and Conditions govern your use of our platform. By accessing or using Proquotely, you agree to be bound by these terms. Please read them carefully.

2. How We Use Information:
To create and manage user accounts.
To process payments.
To provide the core estimation service (e.g., save projects, generate quotes).
To send essential service-related emails (e.g., password resets, billing failure notices).
To send marketing and promotional emails (users must be able to opt-out).
To personalize the in-app experience (e.g., auto-fill company info).
To provide customer support.
3. Third-Party Data Sharing: We share data with the following categories of third-party services:
Payment Processors (e.g., Stripe): To process subscriptions and payments.
Cloud & Database Providers (e.g., Supabase, Vercel): To host the application, store user data, and run backend logic.
Analytics Providers (e.g., Google Analytics): To analyze anonymized website and app usage to improve the service.
Email & Marketing Platforms (e.g., Mailchimp): To send service-related and marketing emails.

III. Terms of Service (ToS) Details
1. Content & Data Ownership:
The User owns all their data (e.g., Estimates, Client Lists, Project Data).
The User grants Proquotely, LLC a limited license to use this data anonymously and in aggregate for two purposes:
Internal analytics (e.g., "how many estimates were created this month?").
To train our "AI Estimating Assistant" model.
This clause must make it clear we are not looking at specific user data, only aggregated, anonymized patterns.
2. Disclaimers & Limitation of Liability (CRITICAL):
Disclaimer of Warranties: The service is to be provided "AS-IS" and "AS-AVAILABLE." We make no warranties regarding accuracy, reliability, or that the service will be error-free.
Limitation of Liability: Proquotely, LLC is NOT liable for any business losses, lost profits, financial damages, or errors resulting from the use of the software. Users are solely responsible for all estimates they create and all business decisions they make. Our total liability for any claim shall be limited to the amount the user paid us in the previous 12 months.
3. Acceptable Use Policy (Prohibited Actions): Users are strictly prohibited from:
System Integrity: Hacking, reverse-engineering, decompiling, or disrupting the service; uploading malware; using bots/scrapers to overwhelm servers.
IP & Data: Building a competitive product; benchmarking the service; copying any code or algorithms; using AI output to train a competing AI; accessing another user's account.
User Conduct: Any illegal or fraudulent activity; sharing a single-user "Seat" with multiple people; reselling the service; sending spam; uploading harassing or obscene content.
4. Termination Policy:
Cancellation by User: If a user cancels, their service and access will continue until the end of their current paid billing period (e.g., end of the month).
Termination by Proquotely (Non-Payment): Account access will be immediately suspended on the renewal date if payment fails (0-day grace period).
Termination by Proquotely (For Cause): We reserve the right to immediately terminate any account that violates the Acceptable Use Policy.
5. Right to Modify Terms:
We reserve the right to modify these terms at any time and will provide users with notice of any significant changes (e.g., via email).

IV. Subscription & Payment Policy Details
1. Subscription Tiers & Features:
Free Plan: 1 Seat, 2 Saved Projects/month, Internal Report Exports, Detailed Estimate & Quick Quote.
SOLO Plan: 1 Seat, 25 Saved Projects/month, All Exporting Capabilities, Detailed Estimate & Quick Quote.
Popular Plan: 5 Seats, Unlimited Saved Projects, All Exporting Capabilities, Detailed Estimate & Quick Quote, Custom Branding, AI Estimating Assistant.
Premium Plan: 10 Seats, Unlimited Saved Projects, All Exporting Capabilities, Detailed Estimate & Quick Quote, Custom Branding, AI Estimating Assistant, "Price Locked Forever."
2. Refund Policy:
Monthly Plans: No refunds. All sales are final. We do not pro-rate or refund for partial months or unused time.
Annual Plans: Refunds are available for unused time, calculated as follows:
Service continues until the end of the full month in which the cancellation was requested.
The refund amount will be the (Total Annual Fee Paid) minus (Standard, Non-Discounted Monthly Rate * Number of Months Used).
This ensures we "claw back" the annual discount in the event of an early cancellation.
