Welcome to Proquotely. These Terms & Conditions govern your use of our platform. By accessing or using Proquotely, you agree to these terms.

Your data
You own your data (estimates, client lists, project data, and related content). You grant Proquotely, LLC a limited license to use that data only in anonymized, aggregated form for internal analytics and to improve the Service (including any AI-assisted features), not to inspect your specific customer records for unrelated purposes.
Disclaimers and liability
The Service is provided “AS IS” and “AS AVAILABLE.” We make no warranties of accuracy, reliability, or error-free operation.
Proquotely, LLC is not liable for business losses, lost profits, financial damages, or errors arising from use of the software. You are solely responsible for estimates you create and business decisions you make. Our total liability for any claim is limited to the fees you paid us in the twelve (12) months before the claim.
Acceptable use
You may not: hack, reverse-engineer, disrupt, or overload the Service; upload malware; scrape in ways that abuse the system; build a competing product from our IP; copy our code or algorithms; use Service output to train a competing model; access another user’s account; commit fraud or illegal activity; share a single seat across multiple people in violation of your plan; resell the Service; spam; or upload harassing or obscene content.
Accounts and termination
If you cancel, access continues through the end of your current paid billing period.
If payment fails on renewal, access may be suspended immediately.
We may terminate immediately for Acceptable Use violations.
Subscriptions and payment
Current public plans (see /pricing for prices and details):
- Trial: 14 days, no card required to start; creating new projects may be limited after the trial ends until you subscribe.
- Solo / Duo / Team: Paid seats with project allowances and features as shown on Pricing (including annual savings where offered). Proposal recipients are not seats.
Prices, included features, and founding offers may change; the Pricing page and your checkout control what you buy.
Refunds
- Monthly plans: No refunds. Sales are final; we do not refund unused partial months.
- Annual plans: Unused-time refunds may be available as: service continues through the end of the month of cancellation; refund = annual fee paid minus (standard non-discounted monthly rate × months used), so early cancellation may claw back annual discount.
Changes to these terms
We may modify these terms and will notify you of significant changes (for example by email). Continued use after notice means you accept the updated terms.
